IMPORTANT – READ CAREFULLY:
By using the LIBER Service, you agree to be bound by these Terms. These Terms contain a binding arbitration agreement and a class action waiver (Section 8). If you do not agree, do not use the Service.


1. General Provisions

1.1. Agreement Overview. These Terms of Service (this "Agreement") govern your ("User", "You", "Caller") use of the LIBER telecommunication service (the "Service") provided by Liber21, Inc., a Virginia corporation. This Agreement establishes the rights and obligations between you and the Company.

1.2. Binding Effect. By using the Service, you agree to pay all applicable fees and comply with these Terms. This is a legally binding contract under the Electronic Signatures in Global and National Commerce Act (E-SIGN) and the Virginia Uniform Electronic Transactions Act (Va. Code § 59.1-479 et seq.).

1.3. Public Offering. This Agreement is a public contract (adhesion contract) under Virginia law. All terms are enforceable unless found unconscionable by a court.

1.4. Acceptance. You accept this Agreement by whichever occurs first:
(a) registering on our website at https://liber21.com and providing valid payment card information; OR
(b) remaining on the line after hearing a complete IVR message (described in Section 3.3.3).

1.5. Termination for Non-Acceptance. If you do not agree to any part of this Agreement, you must immediately discontinue any use of the Service.

1.6. Amendments. We may amend this Agreement by posting the new version on https://liber21.com AND sending you a notice to your registered email address or SMS at least thirty (30) days before the effective date. Your continued use of the Service after the effective date constitutes acceptance. If you do not accept the amendments, your sole remedy is to stop using the Service. Amendments never apply retroactively to completed calls.

2. Definitions

2.1. Capitalized terms have the following meanings:

  • LIBER Service: Automated call connection and billing system operated by Liber21, Inc.
  • LIBER Call: A telephone connection initiated by User through the Service.
  • User (Caller): A natural person at least 18 years old (age of majority in Virginia) who initiates a call and accepts this Agreement. You affirm that you are fully competent to contract.
  • Company: Liber21, Inc., EIN 99-3335614, with principal place of business at 16807 Camfield Dr., Moseley, VA 23120.
  • Payment: Any charge debited from User’s designated credit/debit card under Section 6.
  • Recipient (Called Party): The person receiving the call.
  • Rate: Cost per minute of using the Service. The Rate may be set by the Recipient but must comply with Virginia usury laws and card network rules.
  • IVR: Interactive Voice Response.

2.2. Any undefined terms shall be interpreted under Virginia law and applicable U.S. federal law.

3. Description of the LIBER Service

3.1. Core functions of the Service:

  • 3.1.1. Granting access to initiate a LIBER Call.
  • 3.1.2. Per-minute billing (rounded up).
  • 3.1.3. Automatic debit from the User’s designated bank card after call completion.

3.2. Payment terms are fully described in Section 6.

3.3. User Interaction:

  • 3.3.1. Registration. You must provide accurate cardholder data (name, card number, expiration date, CVV). You represent that you are the lawful cardholder. We tokenize card data via a PCI DSS Level 1 compliant processor. Full CVV is never stored after authorization.
  • 3.3.2. Dialing. You dial the Recipient’s number (or the Service access number + Recipient’s number). You will hear an IVR message.
  • 3.3.3. IVR – Mandatory Disclosure. The IVR message will state in English (and optionally other languages):
    • "This call is paid. The rate is $X.XX per minute."
    • "If you remain on the line, you agree to the Terms of Service at liber21.com and consent to be connected."
  • 3.3.4. Connection & Billing Start. After the IVR ends, we connect you with the Recipient. Billing begins when the Recipient answers. The IVR listening time and ring time are not billed. Call minutes are rounded up: 1–60 seconds = 1 minute; 61–120 seconds = 2 minutes, etc.
  • 3.3.5. Automatic Debit. After the call ends, we debit your card for the exact amount (Rate × minutes of connection). You expressly authorize this charge as a one‑click or recurring transaction under the Electronic Fund Transfer Act (EFTA), 15 U.S.C. § 1693 et seq.
  • 3.3.6. Confirmation. We will send an SMS message confirming the call duration and the amount charged.
  • 3.3.7. Maximum Call Duration. A single call is limited to 30 minutes. The system will automatically disconnect at 30 minutes. You may redial for another session.
  • 3.3.8. Disconnection. Either party may disconnect at any time.

4. Rates and Fees

4.1. Rate Disclosure. The Rate (in U.S. Dollars) is announced via IVR before connection. By staying on the line after the IVR, you agree to that specific Rate for that call. Different calls may have different Rates.

4.2. Rounding and Billing. All rates are in USD. Billing begins at connection (when the Recipient answers). IVR and ring time are not billed. Rounding is always up to the next full minute. Examples: 60 seconds = 1 minute; 61 seconds = 2 minutes; 120 seconds = 2 minutes; 121 seconds = 3 minutes.

4.3. Taxes and Fees. The Rate includes all applicable federal, state, and local taxes, unless otherwise stated. If any tax is separately assessed, it will be disclosed before charging.

5. Rights and Obligations

5.1. Company Rights

  • 5.1.1. Amend the Terms (Section 1.6).
  • 5.1.2. Suspend or terminate your access to the LIBER Service immediately if you violate this Agreement, attempt fraud, abuse the Service, or cause harm to the Company or Recipients.
  • 5.1.3. Impose daily limits as described in Section 6.4.
  • 5.1.4. Deny service to any User for any lawful reason, provided such denial does not violate anti‑discrimination laws.

5.2. Company Obligations

  • 5.2.1. Provide the Service with commercially reasonable uptime (excluding scheduled maintenance).
  • 5.2.2. Protect your card data in compliance with PCI DSS and the Virginia Consumer Data Protection Act (VCDPA), Va. Code § 59.1-575 et seq.
  • 5.2.3. Delete your card data and personal information upon written request within thirty (30) days, provided no outstanding balance or pending charges exist.
  • 5.2.4. Maintain a separate Privacy Policy at https://liber21.com.
  • 5.2.5. Respond to support requests within 5 business days.

5.3. User Rights

  • 5.3.1. Initiate calls through the Service in accordance with this Agreement.
  • 5.3.2. Dispute charges with your issuing bank (chargeback rights under Regulation E / Fair Credit Billing Act).
  • 5.3.3. Request deletion of your data under Section 5.2.3.
  • 5.3.4. Receive a copy of this Agreement at any time by emailing finance@liber21.com.

5.4. User Obligations

  • 5.4.1. No claims against Company regarding the content, outcome, or legality of any conversation with Recipients. You assume all risk of communication.
  • 5.4.2. No illegal use. You shall not use the Service to transmit false information, harass, threaten, defraud, violate intellectual property rights, engage in unfair competition, or violate any law (including but not limited to the Telephone Consumer Protection Act (TCPA)).
  • 5.4.3. No interference – You shall not disrupt the operation or misuse the Service.
  • 5.4.4. Accurate information – You must provide true and complete registration and payment information.

6. Payment Terms

6.1. Calculation. Fee = Rate × minutes of connection (rounded up under Section 4.2).

6.2. Authorization. By providing your card details, you authorize Liber21, Inc. to charge that card automatically after each call. This is a per‑transaction authorization (not a subscription). You may prevent future charges by deleting your card from your account; revocation does not affect completed calls.

6.3. Card Network Rules. Payment processing is subject to Visa/MasterCard/Amex/Discover rules, your issuing bank’s policies, and U.S. federal law (EFTA).

6.5. Pre‑authorization. Before connection, we verify sufficient funds for at least one minute at the announced Rate. A temporary authorization hold (typically $1.00 or the per‑minute Rate) may appear on your card. It will be released if the call does not connect.

6.6. Connection Condition. We will connect the call only if the pre‑authorization succeeds and you have not exceeded the limits in Section 6.4.

6.7. Payment Completion. Payment is deemed complete when we receive a successful settlement confirmation from our payment processor. If the charge fails (e.g., insufficient funds), you remain liable, and we may suspend your account until a valid payment method is provided.

7. Disclaimers and Limitation of Liability

7.1. AS-IS SERVICE. TO THE MAXIMUM EXTENT PERMITTED BY VIRGINIA LAW, THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE." WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON‑INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR‑FREE, OR SECURE.

7.2. No Money Laundering or Sanctions Violations. You represent that your funds are legally obtained and that you are not on any U.S. sanctions list (OFAC). You will not use the Service for any illegal activity, including money laundering or terrorist financing.

7.3. LIMITATION OF LIABILITY. TO THE FULLEST EXTENT ALLOWED BY VIRGINIA LAW, IN NO EVENT SHALL LIBER21, INC. BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, LOSS OF DATA, OR COST OF SUBSTITUTE SERVICES, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

7.4. No Liability for Call Content. We do not record, monitor, or control conversations between User and Recipient during the call. We are not responsible for any statements, opinions, advice, or illegal acts exchanged between User and Recipient.

7.5. Suspension of Service. We may suspend your access for any lawful reason. Suspension for cause (violation of law or this Agreement) requires no refund.

8. Dispute Resolution – Binding Arbitration (Virginia Code § 8.01-581.01 et seq.)

8.1. Informal Negotiation. Before initiating any formal dispute, you must first contact us at finance@liber21.com with a written description of the dispute, your name, and the phone number used. We will have thirty (30) days to resolve it. Good faith negotiation is a condition precedent to arbitration.

8.2. Binding Arbitration. If the dispute is not resolved informally, either party may demand binding arbitration administered by the American Arbitration Association (AAA) under its Consumer Arbitration Rules in effect at that time. Arbitration shall take place in Chesterfield County, Virginia, unless the parties mutually agree to a different location or remote hearing. The arbitrator’s decision shall be final and enforceable in any court of competent jurisdiction.

8.3. Class Action Waiver. YOU AGREE THAT ANY DISPUTE RESOLUTION PROCEEDING WILL BE CONDUCTED ONLY ON AN INDIVIDUAL BASIS AND NOT AS A CLASS, CONSOLIDATED, OR REPRESENTATIVE ACTION. NEITHER YOU NOR LIBER21, INC. MAY ACT AS A CLASS REPRESENTATIVE OR PRIVATE ATTORNEY GENERAL. This waiver is severable: if found unenforceable, the entire arbitration provision (Section 8) becomes void, and either party may sue in court.

8.4. Exception – Small Claims Court. Either party may bring an individual action in the small claims court of Chesterfield County, Virginia (or any other Virginia small claims court with jurisdiction) instead of arbitration.

8.5. Governing Law for Disputes. This Agreement and any disputes (including arbitration) shall be governed by the laws of the Commonwealth of Virginia, without regard to conflict of laws principles, and by applicable U.S. federal law. The United Nations Convention on Contracts for the International Sale of Goods (CISG) does not apply.

8.6. Statute of Limitations. Any claim arising out of this Agreement must be filed within one (1) year after the cause of action accrues, or it is permanently barred.

9. Force Majeure

9.1. Neither party shall be liable for delays or failures in performance resulting from causes beyond its reasonable control, including but not limited to: natural disasters, war, terrorism, pandemics, epidemics, government orders or regulations, power outages, internet or telecommunications failures, and actions of third-party carriers.

9.2. The affected party must notify the other within seven (7) calendar days. Performance is suspended only for the duration of the force majeure event.

9.3. If the force majeure event lasts more than thirty (30) consecutive days, either party may terminate this Agreement without liability.

10. General Provisions

10.1. Severability. If any provision of this Agreement is found unenforceable by a court or arbitrator, the remaining provisions remain in full force and effect.

10.2. No Waiver. Our failure to enforce any right or provision does not waive that right or provision.

10.3. Assignment. You may not assign this Agreement without our written consent. We may assign it without notice as part of a merger, acquisition, or sale of substantially all assets.

10.4. Entire Agreement. This Agreement, together with the IVR disclosures and the Privacy Policy (available at https://liber21.com/privacy), constitutes the entire agreement between you and Liber21, Inc. regarding the Service.

10.5. Contact and Data Deletion Requests. For questions, complaints, or to request deletion of your personal data and card information, contact:

10.6. Electronic Communications. You consent to receive communications from us electronically (email, SMS, or notices on our website). You agree that all electronic communications satisfy any legal requirement that such communications be in writing.

By registering as a Recipient and using the LIBER Service, you agree to these Terms. This Agreement creates a binding legal relationship. If you are not eligible to receive payments under U.S. law, do not register.


1. General Provisions

1.1. Agreement Overview. These Terms of Service (this "Agreement") govern your (as "Recipient", "You") use of the LIBER Service to receive paid phone calls. The Company operates the Service, facilitates call connection, calculates call duration, collects payment from callers, and pays you a share of the collected amount as described below.

1.2. Binding Effect. By completing registration on our website at https://liber21.com or by remaining on the line after hearing the IVR message (defined in Section 3), you agree to all terms. This Agreement is enforceable under the Electronic Signatures in Global and National Commerce Act (E-SIGN) and the Virginia Uniform Electronic Transactions Act (Va. Code § 59.1-479 et seq.).

1.3. No Third-Party Rights. This Agreement is solely between you and Liber21, Inc. Callers are not third-party beneficiaries.

1.4. Acceptance. You accept this Agreement by either:
(a) registering on our website at https://liber21.com/recipient-registration; OR
(b) remaining on the line after hearing a complete IVR message.

1.5. Termination for Non-Acceptance. If you do not agree, you must not register or accept any call through the Service.

1.6. Amendments. We may amend this Agreement by posting the new version on https://liber21.com AND sending you a notice by email or SMS at least thirty (30) days before the effective date. Your continued participation after the effective date constitutes acceptance. If you do not accept the amendments, you may terminate your account.

2. Definitions

2.1. Capitalized terms have the following meanings:

  • Service (LIBER): Automated call connection and billing system operated by Liber21, Inc.
  • LIBER Call: A telephone call connected via the Service from a Caller to you.
  • Caller (User): A natural person at least 18 years old (age of majority in Virginia) who initiates a call through the Service.
  • Company: Liber21, Inc., EIN 99-3335614, with principal place of business at 16807 Camfield Dr., Moseley, VA 23120.
  • Recipient (You): A person who registers to receive paid calls via the Service. You must be at least 18 years old and legally eligible to receive compensation in the United States. If you are not a U.S. tax resident or citizen, you must provide a valid Form W-8BEN and comply with all tax laws.
  • Rate: The per-minute fee payable to you (before tax withholding) for using the Service.
  • Call Duration: Total time from call connection (Recipient answers) to disconnection, rounded up to the next full minute as per Section 4.2.
  • Gross Payment: Rate × Call Duration.
  • Net Payment: Gross Payment minus applicable tax withholdings (see Section 4.5) minus the Service fee.

2.2. Any undefined terms shall be interpreted under Virginia law and applicable U.S. federal law.

3. Service Description for Recipients

3.1. What the Service provides to you:

  • 3.1.1. The ability to receive calls from Callers.
  • 3.1.2. Automatic calculation of call duration (rounded up per minute).
  • 3.1.3. The ability for you to select your Rate from a predefined list.
  • 3.1.4. The ability to receive your Net Payment after each completed call, subject to an accumulation and payout schedule.

3.2. Recipient Interaction Flow:

  • 3.2.1. Registration. You register at https://liber21.com, providing your full legal name, address, phone number, and taxpayer identification number (SSN or ITIN). You also select your desired Rate from the menu in Section 4.1.
  • 3.2.2. Call forwarding setup (if needed). To receive calls through the Service, you must enable conditional call forwarding in your phone settings or use the virtual number we provide, as instructed. You are responsible for any carrier charges for forwarding.
  • 3.2.3. Incoming call. When a Caller dials your number through the Service:
    • The Caller hears the IVR message.
    • Your phone receives an incoming call from a Service number. You hear an IVR message stating: "This is a paid LIBER call. You will receive $X.XX per minute. Taxes may be withheld. To accept the call, stay on the line. To decline, hang up."
    • If you remain on the line, the Service connects the Caller to you, and billing begins.
  • 3.2.4. Billing and payment. After the call ends, the Company calculates the Gross Payment = Rate × minutes of connection (rounded up under Section 4.2). We deduct any required tax withholdings and the Service fee, and credit the Net Payment to your pending balance.
  • 3.2.5. Confirmation. You receive an SMS message with the call duration, Gross Payment, and Net Payment.
  • 3.2.6. Payout. We will pay your accrued Net Payments via ACH, PayPal, or another method you choose, on a weekly basis (each Monday) for the preceding seven calendar days, provided your accrued balance is at least $10.00 USD. If the balance is below $10.00, funds will accumulate until the minimum is reached.
  • 3.2.7. Maximum call duration. A single call is limited to 30 minutes. The system will disconnect at 30 minutes. Callers may redial for another session.
  • 3.2.8. Disconnection. Either you or the Caller may hang up at any time.

3.3. Company liability limits. We reserve the right to suspend payouts if we detect fraudulent activity.

4. Rates, Tax Withholding, and Payouts

4.1. Recipient Rate Table (USD per minute).
You may choose one of the following rates at registration.

4.2. Rounding. Call duration is rounded up to the next full minute. Examples: 60 seconds = 1 minute; 61 seconds = 2 minutes; 120 seconds = 2 minutes; 121 seconds = 3 minutes. Billing starts when the Recipient answers. IVR and ring time are not billed.

4.3. Gross Payment calculation. Gross Payment = Rate × minutes of connection (rounded up under Section 4.2).

4.4. Payout schedule and minimum. Net Payments are remitted weekly (each Monday) for the preceding seven calendar days. Minimum payout: $10.00 USD. If your Net Payment is less than $10.00, it will carry over until the minimum is reached. No interest accrues on unpaid balances.

4.5. Tax withholding.

  • If you provide a valid Form W-9 (U.S. tax resident or citizen), we will not impose backup withholding unless required by the IRS.
  • We will report your annual earnings (Gross Payments) to the IRS on Form 1099-NEC if they exceed $600 in a calendar year.
  • If you fail to provide a valid taxpayer identification number (TIN) or if the IRS notifies us of underreporting, we will withhold 24% backup withholding under Section 3406 of the Internal Revenue Code.
  • If you are not a U.S. tax resident or citizen, you must provide Form W-8BEN. Without it, we will withhold 30% of the Gross Payment (or the applicable treaty rate).
  • You are solely responsible for paying all federal, state, and local taxes on the payments you receive. The Company does not provide tax advice.

4.6. No cash payments. All payments are made electronically via ACH, PayPal, or another offered method. You are responsible for any fees charged by your payment provider.

5. Rights and Obligations

5.1. Company Rights

  • 5.1.1. Amend this Agreement (Section 1.6).
  • 5.1.2. Immediately suspend or terminate your access to the LIBER Service if you violate these Terms, commit fraud (including artificially inflating call duration or colluding with Callers to generate false calls), violate any law, or if we receive a court order or government directive.
  • 5.1.3. Offset any amounts owed to you against any damages you cause to the Company.
  • 5.1.4. Suspend payouts pending investigation of suspected fraud.

5.2. Company Obligations

  • 5.2.1. Provide the Service with commercially reasonable uptime (excluding scheduled maintenance).
  • 5.2.2. Process payments to you in accordance with Section 4.
  • 5.2.3. Protect your personal data in accordance with our Privacy Policy and the Virginia Consumer Data Protection Act (VCDPA).
  • 5.2.4. Provide a mechanism to dispute call duration or payment errors (see Section 8).

5.3. Recipient Rights

  • 5.3.1. Receive calls through the Service (subject to availability).
  • 5.3.2. Receive the Net Payment for completed calls as calculated.
  • 5.3.3. Delete your account at any time by sending a written request to finance@liber21.com. Any unpaid Net Payment balance below $1.00 may be forfeited; balances above $1.00 will be paid within 30 days.
  • 5.3.4. Dispute incorrect call records.

5.4. Recipient Obligations

  • 5.4.1. No claims about call content. You release the Company from any liability regarding the statements, opinions, or legality of the Caller’s conversation.
  • 5.4.2. No fraud or abuse. You shall not:
    • Intentionally prolong calls without genuine conversation.
    • Use auto-dialers, bots, or other automated systems to generate artificial calls.
    • Collude with Callers to split fees or create sham calls.
    • Violate the Telephone Consumer Protection Act (TCPA), the Truth in Caller ID Act, or any other law.
  • 5.4.3. Comply with tax laws. You must provide accurate tax information and update it promptly.
  • 5.4.4. No illegal activity. You shall not use the Service for money laundering, terrorism financing, or any illegal purpose.
  • 5.4.5. No harassment. You shall not use the Service to harass, threaten, or defraud any Caller.

5.5. Call recording consent.
The Service does not record calls unless required by law. However, you should be aware that Callers may record calls. You are responsible for complying with Virginia’s one-party consent law (Va. Code § 19.2-62) or the applicable law of your location. The Company makes no representation about the legality of recording.

6. Disclaimers and Limitation of Liability

6.1. AS-IS SERVICE. TO THE MAXIMUM EXTENT PERMITTED BY VIRGINIA LAW, THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE." WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON‑INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR‑FREE, OR SECURE.

6.2. No guarantee of call volume. We do not guarantee any minimum number of calls, earnings, or that any Caller will call you.

6.3. LIMITATION OF LIABILITY. TO THE FULLEST EXTENT ALLOWED BY VIRGINIA LAW, IN NO EVENT SHALL LIBER21, INC. BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, LOSS OF DATA, OR COST OF SUBSTITUTE SERVICES, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

6.4. No liability for call content. We do not record, monitor, or control conversations between User and Recipient during the call. We are not responsible for any statements, opinions, advice, or illegal acts exchanged between User and Recipient.

6.5. No liability for caller conduct. We are not responsible for any illegal, harassing, or offensive statements made by Callers. You may block specific Callers by contacting support.

6.6. Suspension for cause. If we reasonably believe you have violated this Agreement, we may block your account and withhold pending payments for up to 90 days pending investigation. If fraud is confirmed, we may permanently forfeit unpaid earnings.

7. Recipient Representations and Warranties

You represent and warrant that:

  • 7.1. You are at least 18 years old and have full legal capacity to contract.
  • 7.2. You are not located in any country subject to U.S. sanctions (including Cuba, Iran, North Korea, Syria, Crimea, or the so-called LNR/DNR regions) and are not a person on the OFAC SDN list.
  • 7.3. You will provide true, accurate, and complete registration and tax information.
  • 7.4. You will not use the Service to launder money or commit any crime.
  • 7.5. You have all necessary rights to receive calls and to be paid.

8. Dispute Resolution – Binding Arbitration (Virginia Code § 8.01-581.01 et seq.)

8.1. Informal negotiation. Before initiating any dispute, you must contact finance@liber21.com with a detailed description. We will have thirty (30) days to resolve it.

8.2. Binding arbitration. Any dispute not resolved informally shall be submitted to binding arbitration administered by the American Arbitration Association (AAA) under its Consumer Arbitration Rules. Arbitration shall take place in Chesterfield County, Virginia, or by remote hearing if agreed by the parties.

8.3. Class action waiver. You agree to bring any claim only in your individual capacity, not as a class representative or class member. No class arbitration is allowed. If this waiver is unenforceable, then the entire arbitration clause becomes void.

8.4. Small claims exception. Either party may bring an individual action in the small claims court of Chesterfield County, Virginia.

8.5. Governing law. This Agreement and all disputes shall be governed by the laws of the Commonwealth of Virginia and applicable federal law, without regard to conflict of laws principles.

8.6. Statute of limitations. Any claim must be filed within one (1) year after the claim accrues, or it is barred.

9. Force Majeure

9.1. Neither party shall be liable for delays or failures in performance resulting from causes beyond its reasonable control, including but not limited to: natural disasters, war, terrorism, pandemics, epidemics, government orders or regulations, power outages, internet or telecommunications failures, and actions of third-party carriers.

9.2. The affected party must notify the other within seven (7) calendar days. Performance is suspended only for the duration of the event.

9.3. If the event lasts more than thirty (30) consecutive days, either party may terminate this Agreement without liability.

10. Term and Termination

10.1. Term. This Agreement continues until terminated by either party.

10.2. Termination by Recipient. You may terminate this Agreement at any time by sending a request by email to finance@liber21.com. Your account will be closed within 5 business days, and any accrued unpaid balance above $1.00 will be paid within 30 days.

10.3. Termination by Company. We may immediately block your account for any material violation of this Agreement, including fraud, or for any lawful reason. Upon termination for cause, you forfeit any unpaid earnings accrued after the beginning of the violation (as determined by us in good faith).

11. General Provisions

11.1. Severability. If any provision is found unenforceable, the remaining provisions remain in full force and effect.

11.2. No waiver. Our failure to enforce any right or provision does not waive that right or provision.

11.3. Assignment. You may not assign this Agreement without our consent. We may assign it without notice as part of a merger or sale.

11.4. Entire agreement. This Agreement, the Privacy Policy, and any IVR disclosures constitute the entire agreement between the parties.

11.5. Electronic communications. You consent to receive electronic communications from us (email, SMS, web notices).
